GCA Advises Affectiva on its announced acquisition Smart Eye

GCA is pleased to announce that our client, Affectiva, Inc. (“Affectiva”), a pioneer in Emotion AI and Human Perception AI, has entered into an agreement to be acquired by Smart Eye AB (“Smart Eye”) (OM:SEYE), a leading developer of artificial intelligence (AI) in the form of eye tracking technology that understands, supports and predicts a person’s intentions and actions. The total transaction consideration of USD $73.5 million consists of USD $67 million in newly issued shares in Smart Eye and the balance in cash.

By bringing together best-of-breed technologies and two highly skilled and complementary teams, the acquisition of Affectiva by Smart Eye is expected to enable unparalleled automotive-grade Interior Sensing AI. The combined company’s solution will not only improve automotive safety, saving human lives around the world, but also will provide differentiated mobility experiences that enhance wellness, comfort and entertainment. In addition to strengthening Smart Eye’s automotive offering, Affectiva brings significant incremental revenues and profit from its industry-leading Media Analytics business. Used by 70 percent of the world’s largest advertisers, Affectiva’s enterprise-grade technology analyzes consumers’ emotional reactions to brand content and experiences.

Closing of the Transaction is expected to take place before the end of June 2021.

GCA is serving as exclusive financial advisor to Affectiva in connection with this transaction. This represents GCA’s second transaction with Affectiva.
