GCA Advised Zahnarztzentrum.ch on the Sale of a Majority Stake to Migros Subsidiary Medbase
GCA is pleased to announce we advised the founders of Zahnarztzentrum.ch, the largest provider of dental services in Switzerland, on the sale of a majority stake to Migros subsidiary Medbase, a leading Swiss healthcare services provider. With this acquisition, Medbase is expanding its portfolio of basic medical care to include dentistry.
Zahnarztzentrum.ch opened its first clinic in Zurich in 2003. Today, the company operates across 34 locations in Switzerland and has treated over half a million patients since its founding. Zahnarztzentrum.ch employs 700 people, of which over 300 are dentists and specialists in orthodontics, implants and dental hygiene. The size and structure of the company enable the clinics to be fully digitalized, with state-of-the-art equipment that allows gentle and safe treatment methods. The range of services offered includes all dental services from dental hygiene to oral surgery and orthodontics.
Medbase AG (“Medbase”) is a leading Swiss healthcare services provider that has been part of the Migros-Genossenschafts-Bund group of companies since 2010. Medbase offers a comprehensive range of medical, therapeutic and pharmaceutical products with general practitioners, pharmacists, specialists, therapists and other healthcare professionals working hand in hand. The company employs over 1800 people.
Through this acquisition, Medbase is pursuing its expansion strategy and breaking new ground in primary care. “We see dentistry as part of integrated care and thus as a useful addition to our existing portfolio of services. In addition, dental hygiene is an example of effective prevention that fits perfectly with Medbase’s vision,” said Marcel Napierala, CEO of Medbase Group. “With Zahnarztzentrum.ch, Medbase has found a strong partner to further shape cross-sectoral healthcare in Switzerland.”
“We are pleased to continue the further development of the dental group together with Medbase and to orientate it sustainably toward the future,” said Christian Spliethoff, CEO of Zahnarztzentrum.ch. “Zahnarztzentrum.ch covers the entire spectrum of dentistry and thus complements Medbase’s existing business areas of medicine, therapy and pharmacy.”
Zahnarztzentrum.ch will be gradually integrated into the Medbase Group and will continue to operate in its existing dental centers.
Terms of the transaction have not been disclosed. The transaction is subject to approval by the relevant antitrust authorities and closing is expected to take place in the third quarter of 2020.
